1. Introduction
These Terms of Service ("Terms") govern the relationship between Ambient Electron (Pty) Ltd ("we", "us", "our") and any individual or organisation ("Client", "you") that engages our web design and development services.
By engaging our services, requesting a quote, or making any payment, you agree to be bound by these Terms. Please read them carefully before proceeding.
2. Our Services
Ambient Electron provides the following services:
- Website design and development
- Website personalisation based on proven foundations
- Hosting setup and configuration
- Website maintenance and support on a retainer basis
- Any additional services agreed upon in writing
The scope of work for each project will be confirmed in a written proposal or quotation before work begins.
3. Quotations & Proposals
All quotations are valid for 14 days from the date of issue. A quotation does not constitute a binding agreement until accepted in writing and a deposit has been received.
We reserve the right to revise a quotation if the scope of work changes after acceptance.
4. Payment Terms
Our standard payment structure is as follows:
- 50% deposit required before work commences
- 50% balance due upon project completion before final delivery or launch
- Maintenance and hosting retainer fees are billed monthly in advance
Work will not commence until the deposit has been received and cleared. Final files, credentials, and live deployment will not be released until the full balance is settled.
Invoices not paid within 7 days of the due date may incur a late payment fee or result in suspension of services.
4a. Payment Plans
Payment plans are available on Pulse and Current packages for clients who require flexibility. The following structure applies:
- 33% deposit to commence work
- 33% due upon design approval
- 33% due upon launch
Work will pause if a scheduled payment is not received within 5 business days of the due date. Payment plans are not available on the Signal package. All payment plan requests must be agreed upon in writing before work begins.
5. Revision Rounds
Each package includes a set number of revision rounds as outlined in your selected pricing tier:
- Signal (1–3 pages): 2 revision rounds
- Pulse (4–8 pages): 3 revision rounds
- Current (9+ pages): 5 revision rounds
A revision round is defined as a consolidated set of changes submitted in a single request. Additional revision rounds beyond the included amount will be quoted and billed separately.
Revision rounds do not include changes to the agreed scope of work, new pages, or structural redesigns.
6. Client Responsibilities
To ensure timely delivery, the Client agrees to:
- Provide all required content (text, images, logos, documents) within 7 days of project commencement
- Respond to review requests and feedback within 5 business days
- Provide accurate and complete information required for the project
- Ensure they have the legal right to use any content supplied to us
Delays caused by the Client's failure to provide content or feedback may result in revised delivery timelines and additional charges.
7. Intellectual Property
Upon receipt of full payment, the Client receives full ownership of the final website design and content as delivered. This includes all design assets, code, and written content created specifically for the project.
We retain the right to:
- Display the completed work in our portfolio
- Reference the Client's name and project in marketing materials, unless otherwise agreed in writing
- Retain ownership of any reusable frameworks, libraries, or base templates used in the project
Third-party assets (stock images, fonts, plugins) remain subject to their respective licences.
8. Confidentiality
We treat all Client information and project details as confidential. We will not disclose your business information, strategies, or data to third parties without your consent, except as required by law.
9. Post-Launch Support
Post-launch support is included in all build packages for a fixed period after launch:
- Signal (1–3 pages): 3 months post-launch support
- Pulse (4–8 pages): 6 months post-launch support
- Current (9+ pages): 12 months post-launch support
Support covers minor queries, small fixes, and guidance during the settling-in period after launch. It does not include new features, additional pages, or structural changes. These will be quoted separately.
Once the included support period expires, ongoing maintenance is available via our Care or Care+ monthly plans.
10. Care Plan — Monthly Maintenance
The Care plan is a rolling monthly retainer covering hosting and website upkeep. Either party may cancel with 30 days written notice. No refunds are issued for partially used months.
The Care plan includes managed hosting, domain support, uptime monitoring, security checks, performance monitoring, and backups.
The Care plan does not include content updates, technical support, or any changes to the website. These require an upgrade to Care+.
We reserve the right to adjust retainer pricing with 30 days notice.
11. Cancellation & Refunds
If the Client cancels a project after work has commenced:
- The deposit is non-refundable
- Any work completed beyond the deposit value will be invoiced at our standard rates
- All work completed to date remains the property of Ambient Electron until outstanding amounts are settled
- On payment plans, any instalments already received are non-refundable
If we are unable to complete a project due to circumstances on our side, we will refund any amounts paid for work not yet delivered.
12. Limitation of Liability
Ambient Electron's liability to the Client is limited to the total amount paid for the specific project or service in question. We are not liable for any indirect, consequential, or special damages arising from the use of our services or the Client's website.
We do not guarantee specific results from SEO, traffic, or business outcomes resulting from the website.
13. Governing Law
These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms shall be subject to the jurisdiction of South African courts.
14. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be posted on this page. Continued use of our services after changes constitutes acceptance of the revised Terms.
